xp sp2 ntdll

I've tried to update my xp with the sp2 but it gives me an error of c:\windows\system32\ntdll.dll
It says that something else is using that dll but I have cleared my start up list, closed all of my taskbar programs possible, rebooted my computer and it still won't let me install sp2.
Can anyone tell me how to fix this?
